Success of the issuance of convertible bonds of CS Communication & Systèmes: Offer subscribed at more than 134%

The issuance of convertible bonds into new ordinary shares with preferential subscription rights for shareholders launched by CS Communication & Systèmes on July 4, 2014 has been widely subscribed with a total demand of 44,754 Bonds representing more than 134% of the bonds issued.

The gross amount of the Bonds thus amounts to € 12,006,720, corresponding to the issuance of 33,352 Bonds.

Consistent with its subscription commitment which covers the entire amount of the issue, Sopra Group is thus allocated 22,298 Bonds, ie 66.9% of the total issue (45.18% of the issuance has been subscribed as irreducible amounts).

Moreover, Cira Holding SA - which, to the knowledge of the Company, holds 30.88% of the Company's capital - has informed the Company in a letter received on July 15, 2014 that it intended to subscribe to as irreducible amounts proportionally to their subscription rights.

The settlement-delivery of the 33,352 Bonds and their admission to trading on the Euronext Paris regulated stock market are provided on July 25, 2014.
